2. Applicability
These terms apply to all agreements, offers, and deliveries made by Vitanoord BV, whether to business customers (B2B) or individual consumers. Deviations from these terms are only valid if agreed in writing.
For B2B customers, any general terms and conditions of the buyer are expressly rejected unless Vitanoord BV has explicitly accepted them in writing.
3. Products and information
Vitanoord BV sells liposomal nutritional supplements under the brand name Rootwell. All product information on this website is provided for informational purposes only. Our products are food supplements and are not intended to diagnose, treat, cure, or prevent any disease.
We make every effort to ensure product descriptions, ingredient information, and certifications are accurate and up to date. However, we reserve the right to make changes without prior notice.
4. Orders and agreements
All offers and quotations made by Vitanoord BV are non-binding unless explicitly stated otherwise in writing. An agreement is formed only upon written confirmation by Vitanoord BV.
For B2B orders, minimum order quantities and specific delivery terms may apply as agreed between the parties. For consumer orders via rootwell.nl, the order is confirmed by email upon receipt.
5. Pricing
All prices are exclusive of VAT unless stated otherwise. Vitanoord BV reserves the right to adjust prices without prior notice. The price applicable to an order is the price confirmed at the time of the order.
For B2B customers, prices are agreed separately and set out in the applicable quotation or wholesale agreement.
6. Payment
Invoices are payable within 30 days of the invoice date unless otherwise agreed in writing. In the event of late payment, Vitanoord BV reserves the right to charge statutory commercial interest and reasonable collection costs.
For consumer purchases, payment is required at the time of purchase in accordance with the payment methods available on rootwell.nl.
7. Delivery
Delivery times are indicative and do not constitute a binding deadline unless explicitly agreed in writing. Vitanoord BV is not liable for delays caused by circumstances outside its reasonable control, including supply chain disruptions, carrier delays, or force majeure events.
Risk of goods passes to the customer upon delivery. Title to goods passes upon full payment.
8. Returns and right of withdrawal
Consumer customers have the right to withdraw from a purchase within 14 days of receipt of the goods without giving any reason, in accordance with Dutch and EU consumer law. To exercise this right, please contact us at info@vitanoord.com. Products must be returned unused and in their original packaging. Return shipping costs are at the consumer's expense unless the product is defective.
B2B customers do not have a statutory right of withdrawal. Returns are only accepted by prior written agreement.
9. Liability
Vitanoord BV's liability for any direct damage is limited to the invoice value of the relevant order. Vitanoord BV is not liable for indirect or consequential damage, including loss of profit or reputational damage.
Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

All content on this website — including text, images, logos, and product descriptions — is the property of Vitanoord BV or its licensors. Nothing on this website may be reproduced, distributed, or used without prior written consent from Vitanoord BV.
11. Governing law and disputes
These terms are governed by Dutch law. Any disputes arising from or in connection with these terms shall be submitted to the competent court in Amsterdam, the Netherlands, unless mandatory consumer protection law requires otherwise.

2. Toepasselijkheid
Deze voorwaarden zijn van toepassing op alle overeenkomsten, aanbiedingen en leveringen van Vitanoord BV, zowel aan zakelijke klanten (B2B) als aan individuele consumenten. Afwijkingen van deze voorwaarden zijn uitsluitend geldig indien schriftelijk overeengekomen.
Voor B2B-klanten worden de algemene voorwaarden van de koper uitdrukkelijk van de hand gewezen, tenzij Vitanoord BV deze uitdrukkelijk schriftelijk heeft aanvaard.
3. Producten en informatie
Vitanoord BV verkoopt liposomale voedingssupplementen onder de merknaam Rootwell. Alle productinformatie op deze website is uitsluitend informatief van aard. Onze producten zijn voedingssupplementen en zijn niet bedoeld voor de diagnose, behandeling, genezing of preventie van ziekten.
Wij doen ons best om productomschrijvingen, ingrediënteninformatie en certificeringen accuraat en actueel te houden. Wij behouden ons echter het recht voor wijzigingen aan te brengen zonder voorafgaande kennisgeving.
4. Bestellingen en overeenkomsten
Alle aanbiedingen en offertes van Vitanoord BV zijn vrijblijvend, tenzij uitdrukkelijk anders schriftelijk vermeld. Een overeenkomst komt uitsluitend tot stand na schriftelijke bevestiging door Vitanoord BV.
Voor B2B-bestellingen kunnen minimale bestelhoeveelheden en specifieke leveringsvoorwaarden gelden zoals overeengekomen tussen partijen. Voor consumentenbestellingen via rootwell.nl wordt de bestelling per e-mail bevestigd na ontvangst.
5. Prijzen
Alle prijzen zijn exclusief btw, tenzij anders vermeld. Vitanoord BV behoudt zich het recht voor prijzen zonder voorafgaande kennisgeving aan te passen. De prijs die van toepassing is op een bestelling is de prijs die op het moment van de bestelling is bevestigd.
Voor B2B-klanten worden prijzen afzonderlijk overeengekomen en opgenomen in de toepasselijke offerte of groothandelsovereenkomst.
6. Betaling
Facturen zijn betaalbaar binnen 30 dagen na de factuurdatum, tenzij schriftelijk anders overeengekomen. Bij te late betaling behoudt Vitanoord BV zich het recht voor de wettelijke handelsrente en redelijke incassokosten in rekening te brengen.
Voor consumentenaankopen dient betaling te geschieden op het moment van aankoop, conform de beschikbare betaalmethoden op rootwell.nl.
7. Levering
Levertijden zijn indicatief en vormen geen bindende deadline, tenzij uitdrukkelijk schriftelijk overeengekomen. Vitanoord BV is niet aansprakelijk voor vertragingen veroorzaakt door omstandigheden buiten haar redelijke controle, waaronder verstoringen in de toeleveringsketen, vertraging bij vervoerders of overmacht.
Het risico van goederen gaat over op de klant bij levering. De eigendom van goederen gaat over na volledige betaling.
8. Retourneren en herroepingsrecht
Consumenten hebben het recht om binnen 14 dagen na ontvangst van de goederen zonder opgave van redenen van een aankoop af te zien, overeenkomstig het Nederlandse en Europese consumentenrecht. Om dit recht uit te oefenen, kunt u contact met ons opnemen via info@vitanoord.com. Producten dienen ongebruikt en in de originele verpakking te worden geretourneerd. De retourkosten zijn voor rekening van de consument, tenzij het product defect is.
B2B-klanten hebben geen wettelijk herroepingsrecht. Retourzendingen worden uitsluitend geaccepteerd na voorafgaande schriftelijke overeenstemming.
9. Aansprakelijkheid
De aansprakelijkheid van Vitanoord BV voor directe schade is beperkt tot de factuurwaarde van de betreffende bestelling. Vitanoord BV is niet aansprakelijk voor indirecte schade of gevolgschade, waaronder winstderving of reputatieschade.
Niets in deze voorwaarden sluit aansprakelijkheid uit of beperkt deze voor overlijden of lichamelijk letsel veroorzaakt door nalatigheid, of voor fraude of frauduleuze onjuiste voorstelling van zaken.
10. Intellectueel eigendom
Alle inhoud op deze website — inclusief teksten, afbeeldingen, logo's en productomschrijvingen — is eigendom van Vitanoord BV of haar licentiegevers. Niets op deze website mag worden gereproduceerd, verspreid of gebruikt zonder voorafgaande schriftelijke toestemming van Vitanoord BV.
